										<content:encoded><![CDATA[<p style="text-align: center;"><strong><span style="text-decoration: underline;"><span style="color: #993300; text-decoration: underline;"> TRANSITIONING &amp; SUCCESSION PLANNING</span></span></strong></p>
<p>Its true – Organizations should outlive, if not preferably outpace, the People – who start, build,&amp; sustain it and sometimes unsustain it as well. This article is a result of continuous interactions with Leaders, their Organizations and others across 4 decades – Both Family Managed and Corporates, real &amp; felt. As a Professional groomed to be an Intrapreneur since early days, up bringing has been a kind of Classical in the sense of mixing the Flavours of both Corporate and Family Business Styles &amp; Culture, thanks to Business Owners and Superiors.</p>
<p>A firm believer in Observational Learning, having had much larger Customers and Suppliers, Learning has been tremendous over the Years – both Good &amp; Otherwise. Many a times I have had the opportunity to look at both <strong>what should be and what should not be</strong>. Sustaining the success of Organizations across dynamic business scenarios, I firmly attribute to the resilience of the Top Management – their <strong>agility and ability to think differently and most importantly being appropriately Decisive.</strong></p>

<p>Bitten by the Entrepreneurial bug, I decided to Superannuate on time. This decision was kind of influenced by my observations about lack of appreciable difference between a Professionally &amp; Owner Managed Organization. It is also a decision based on <strong>What one should not do – Extensions</strong>. Many times I hear people remarking that “Owners cannot retire” as much as “Professionals don’t want to retire”. Though this appears to be dependent on Personal Priorities and Pre-occupations, I have observed that this is something to do with Self-confidence, ability to live beyond the Organization, the Trust they have on their second and third line irrespective of a Fellow Professional or a Family Member, and most importantly their own vulnerabilities post dis-engagement.</p>
<p><strong>The Process</strong></p>
<p>There is a need for me to make some submissions here – I have had the opportunity to get trained the Swiss Way, adopt the Japanese Way and live a Consumer life American Way. This being said, I believe in looking at every aspect of Managing or Mismanaging a Business as a Process. And Transition planning is one such critical Process.</p>

<p><strong>Organization Design<br />
</strong><br />
Looking at Transition Planning as a Process, it starts with the very organizational design.<br />
Trajectory of evolution of an Organization, though cannot be predicted accurately, need to be atleast visualized. Else may give way to either under and over staffed scenarios. I have personally preferred understaffed scenarios as a strategy until the Organization really Grows – for two reasons. Firstly, it prepares Employees for additional responsibilities and secondly, it cushions the Organization against adverse impacts. Given the different possibilities, an Organization Design should accommodate for both Growth and Stable phase. Opportunity to Grow Vertically in an Organization will depend on the Employee willing to take additional responsibilities.</p>
<p><strong>Time Lapse &amp; Promotions<br />
</strong><br />
Structured and Stream Lined promoting of Employees is certainly a way of Transition Planning. There are a few precautions though, which are pertinent – Promotion should be only for additional, well <strong>differentiable Role &amp; Responsibilities</strong>. This should certainly be not based on time lapse, age &amp; experience. It should also be reckoned that, as Employees Grow higher up in Hierarchy, Opportunities will become rarer. Promotion should also be not based on either output increase or sales revenue increase. This simply means, <strong>Promotion for the sake of Promotion</strong> and based on Year on Year increase in sales should be avoided.</p>
<p><strong>Letting Go<br />
</strong><br />
Sometime earlier I have written an exclusive article on Letting Go as a Business strategy drawing parallel to Successful Batting in Cricket. Shall confine this time Letting Go from the perspective of Organizational Transition. Real Transitional Growth happens within an Organization and for the People in it, only when the incumbents are willing to Delegate and let go of their Authority and Control. This is true both for Grooming Next Gen Employees and Family Members. Leaders often ignore the fact that Controlling &amp; Monitoring are very very different. Likewise, at some stage Organization may exhaust options to promote even Deserving Employees. This is the time when we should let go of such Good Employees – both for Organization &amp; Employee sake. This is simply to avoid complicating the Organization structure. There are many successful companies/ organizations wherein the original promoters have relinquished their Ownership for the larger good of the Organization.</p>

<p><strong>Succession Planning<br />
</strong><br />
Having been a witness to many dilemmas, both within and outside Organizations, succession planning is invariably biased. A lot of emphasis is given to Loyalty than that of Efficacy, however rigid and objective the evaluation process may be. Despite this, its important succession planning is built into the Organizational Planning Process. A good plan should include creating opportunities (vacancies) at regular intervals and letting go people, authority and control at regular intervals. A Leader is only good as much as he is willing to relinquish his own Role &amp; Responsibilities. It is also a fact that only such Leaders can ensure Leadership pipeline. This is true both for Owners &amp; Professionals, and should be seen only from that of Organizational Perspective and never from that of a Family or Loyalty.</p>
<p><strong>Goals, Objectives &amp; Measurements<br />
</strong><br />
Any Transition and Succession planning will not be complete without insistence of Metrics.<br />
Mutual transparency about Expectations, Goals &amp; Objectives is essential. Periodic review and reassessments will then determine the readiness of both the individual and the organization. Both for Professional and Family such measurements should be Professional and in its Truest Sense for the Organization to be successfully sustainable.</p>

<p>It’s not every day that someone patents the wheel. Yet, in 2001, an Australian man named John Keogh did exactly that. Or at least, that’s how the story is usually told. With a creative name for the invention, he submitted an application for what he called a “circular transportation facilitation device.” The technical description? A rim. A hollow cylinder. A set of connectors to hold it all together. Oh, and a rubber layer with an inflatable tube, because… why not?</p>

Keogh, a freelance patent lawyer, was making a point; one aimed squarely at Australia’s freshly introduced innovation patent system. Designed to be a shortcut for small businesses, the system was, in his view, too permissive. Too easy. A playground for anyone looking to take advantage of the rules.</p>
<p>The whole episode earned Keogh and the Australian Patent Office an IG Nobel Prize in Technology, the kind of award that’s equal parts comedy and critique. His patent didn’t last, of course, but the phrase “reinventing the wheel” found another story to attach itself to; one that applies just as neatly to data governance as it does to intellectual property.</p>
<p><strong>From Wheels to Data: A Familiar Mistake</strong></p>
<p>The wheel is a solved problem. So also, in most cases, is the core framework for managing data. Yet many organizations keep starting from scratch, designing entirely new governance systems while perfectly functional, field-tested models already exist. In spite of what they see right in front of them, they still try to, well, “reinvent the wheel.”</p>
<p>Why? Partly, it’s the illusion of innovation. Building something brand new feels exciting, even when it’s unnecessary. But the result is often quite a bit of trial, even more error, and not much to show for either one.</p>
<p>Effective data governance doesn’t necessarily need a blank slate every day. It requires taking what already works, adapting it for your particular environment, and then putting it into practice with precision. That’s where the following three pillars come in: clarity, consistency, and collaboration.</p>

<p>Policies that no one can understand aren’t worth much. While this sounds like an obvious statement, many organizations keep their data governance policies buried in obscure documents that few people even bother to read. What&#8217;s even worse is that those policies are often written to satisfy auditors rather than to help the people who actually work with the data.</p>
<p>Without clarity, people start guessing. They make their own interpretations. And before long, you’ve got half a dozen “versions” of what the policy supposedly says circulating around. That’s how inconsistent data handling creeps in, how errors multiply, and how compliance gaps open up without anyone noticing.</p>
<p>The fix is straightforward: Use plain language. Not oversimplified, but clear. Make it obvious where the rules live; that is, ideally in one central location that’s easy to access. Keep it up to date, because old instructions that no longer match reality are just as dangerous as having no instructions at all.</p>
<p>And don’t just post the policy and leave it there. Reinforce it. Make it a point to explain the reasoning behind each rule in training sessions, in quick reminders during team meetings, and even in casual conversations when relevant. People tend to follow what they understand, and they remember what makes sense to them.</p>
<p><strong>Consistency</strong></p>
<p>If <strong>clarity</strong> can be defined as <strong>knowing</strong> the rules, then consistency means <strong>applying</strong> those rules the same way across the entire organization.</p>
<p>Without it, you might have the Marketing department defining a “customer” one way, Finance defining it another, and Operations defining it a third. The result? Conflicting reports, duplicate records, confused team members, and hours wasted reconciling numbers that should have matched in the first place. Not to mention the damage to your group’s reputation.</p>
<p>Consistency isn’t about enforcing rigid uniformity that ignores different departmental needs. It’s about setting shared standards — formats, definitions, approval steps — and sticking to them unless there’s a clear reason not to.</p>
<p>The best way to make that happen is through a data governance committee with members from across the organization. This group acts as referees, translators, and problem-solvers between departments. They spot inconsistencies early and work out compromises before problems get entrenched.</p>

<p>Regular audits help too. Not as “gotcha” exercises meant to throw anyone under the bus, but as reality checks. Questions need to be asked: Are teams following the agreed processes? Are the processes still fit for purpose? Not so much enforcing rules for rules’ sake, but rather making sure the organization can actually trust the data that it’s relying on.</p>
<p><strong>Collaboration</strong></p>
<p>Even with the clearest rules and the most consistent processes, data governance can still fail if collaboration is missing.</p>
<p>In theory, everyone agrees that data should be managed well. In practice, however, different teams have different priorities. Legal wants airtight compliance. Analytics wants speed. Sales wants flexibility. Management wants clear insights they can act on without wading through technical jargon. And IT… well, IT wants to sleep at night.</p>
<p>When these groups operate in isolation, they often work against each other, without even realizing it or intending to do so, trapping valuable lessons within these silos. Processes (like the proverbial “wheel”) get reinvented, often with poor results. And opportunities to make the whole system more efficient are missed entirely.</p>
<p>The solution starts with conversation. Form cross-functional governance teams that meet often enough to stay aligned, not just when a crisis demands it. Use shared tools such as project boards, chat channels, and version-controlled documentation, so everyone can be aware of the bigger picture and contribute when it matters.</p>
<p>Make cooperation an expectation that’s built into everyday workflows, not an optional extra to consider when time allows. And when collaboration pays off, point it out. Acknowledge and reward collaborative wins. Highlight them in company updates. Show, consistently, that the organization values people who make governance work better together.</p>

<p>The path to effective governance is not complicated. It is, however, deliberate.</p>

<p>Before you embark on yet another “brand new” governance initiative, it’s worth asking the question: are we truly innovating, or just changing the paint color on a perfectly good wheel?</p>

This is where <strong>clarity</strong>, <strong>consistency</strong>, and <strong>collaboration</strong> do their best work:  by making data governance both possible and even sustainable.</p>
<p>Data may be one of your most valuable assets, but without good governance, it’s just information sitting in a system. With those three principles in place, it becomes a foundation for better decisions, stronger compliance, and meaningful innovation.</p>

The ‘<a href="https://www.goodwill.org/" target="_blank" rel="noopener">Goodwill</a>’ stores also exemplify this concept of resale proving the viability of these business models for the mass public.</p>

Design and Production</strong>: Industry should promote to manufacture more sustainable and durable clothing using eco-friendly materials and production processes. <a href="https://en.wikipedia.org/wiki/Fast_fashion" target="_blank" rel="noopener">Fast fashion</a> creates more waste. The current trending slow fashion movement is in the desired direction providing more repeated over extended period.</p>
<p><strong>2. Distribution</strong>: Technology plays a significant role in managing the stock and distribution network efficiently. Optimising distribution process will reduce the load on storage. Businesses can fully leverage e-commerce’s source-to-destination distribution models efficiently.</p>
<p><strong>3. Use and Maintenance</strong>: When consumers become responsible for the repair and maintenance of the clothing, that promotes responsible usage. Following care instructions and repairing any damages prolongs the lifespan of the garments. “There is a 36% decline in the no of times a garment is used over the last 15 years”, says <a href="http://earth.org" target="_blank" rel="noopener">earth.org</a> research. The lesser the use, the more the lifetime of the apparel.</p>
<p><strong>4. Resale &amp; Reuse</strong>: Consumers can resale or donate their clothing to extend its life cycle or can participate in apparel rental services. This not only extends the reuse of the apparel, but also creates revenue opportunity for the apparel owner, while curtailing the depletion of resources used in manufacturing.</p>
<p><strong>5. Recycling and Upcycling</strong>: Clothing that is no longer wearable should be recycled into new textiles or upcycled into new products, such as accessories or home goods, reducing waste and emission. As per a 2018 study by <a href="https://quantis.com/" target="_blank" rel="noopener">Quantis</a>, if no action is undertaken to reduce <a href="https://en.wikipedia.org/wiki/Fast_fashion" target="_blank" rel="noopener">fast fashion</a> waste, then the apparel industry’s global emissions will increase by 50% by 2030. Recycling and upcycling methods offer alternatives to reduce the emission by extending the end-of-life scenarios and promote responsible or smart consumption practices.</p>

<p>AI/ML and GenAI enabled technologies offer the capabilities to improve process efficiency across the product lifecycle by gleaning intelligence at every stage. This intelligence can be leveraged to automate processes, monitor and manage demand across geographies by reallocating resources efficiently. <a href="https://www.walmart.com/" target="_blank" rel="noopener">Walmart</a>, <a href="https://www.amazon.com/" target="_blank" rel="noopener">Amazon</a> or <a href="https://www.ebay.com/" target="_blank" rel="noopener">e-bay’s</a> efficient use of technology in their e-commerce platforms offer valuable insights and resale opportunities. As <a href="https://www.unep.org/" target="_blank" rel="noopener">UNEP</a> quoted, “The world’s consumers are buying more clothes and wearing them for less time than ever before, discarding garments as fast as trends shift”. “It is estimated that people are buying 60 per cent more clothes and wearing them for half as long.” This calls for promoting awareness on smart consumption, where social media platforms can play a significant role.</p>

<p>The fashion industry&#8217;s journey toward sustainability is complex and ongoing. It requires a collaborative effort that reimagines every aspect of the fashion value chain—from the extraction of raw materials to the end of a garment&#8217;s life and hinges on the commitment of all stakeholders. While <a href="https://en.wikipedia.org/wiki/Fast_fashion" target="_blank" rel="noopener">fast fashion</a> and high end-designer apparels has a huge middle income consumer market to capitalise on, it’s the mass lower income group that needs to be educated and mobilised. Cost efficiency in the entire process is a key factor, where digital technology has a key role to play through automation and intelligent recommendations. Educating consumers on smart consumption habits such as clothing-as-a-service is another key element that promotes reuse and recycle, thus reducing environmental impact. However, democratizing this concept of clothing-as-a-service needs innovation in business model, efficient use of e-commerce platforms and focus on ethical practices with an industry-wide focus on driving sustainability. While the challenges are significant, the opportunities for innovation, ethical growth, and environmental stewardship are immense. 										<content:encoded><![CDATA[<p style="text-align: center;"><span style="text-decoration: underline; color: #993300;"><strong>DUA (Data Use &amp; Access) Bill Expectations and its Importance in UK</strong></span></p>
<p>The UK DUA (Data Use &amp; Access) Bill was introduced in the UK House on 24th November 2024 to streamline the UK’s approach to governing and managing data regulation more effectively, with various amendments into the existing UK General Data Protection Regulation (GDPR) and the Data Protection Act (2018) for modernising the existing regulation aligning to EU GDPR and emerging technology trends. The DUA Bill significantly introduced to bring an impact on UK data protection to ease the regulatory burden on small and medium enterprises, simplify legitimate interests, data transfers, cookies management, data subject access requests (DSARs), and align with EU data initiatives. However, the decision on the bill amendment is expected in 2025 and it would be a critical evolution in UK’s data protection regime.</p>
<p>The King’s Speech during the meeting in November 2024 announced a comprehensive agenda on strengthening and enhancing the data protection of the individuals leading up to the DUA Bill. This proposed law advances a unique approach to data practices by streamlining the data sharing model and strengthens data rights. The proposed DUA Bill keeps in mind UK GDPR, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations (PECR) to meet the adequacy of these regulations and strengthen the data protection.</p>

<p>The DUA Bill is envisioned to control the capacity of data for UK economic growth, to protect people’s personal data and to ensure adequacy to EU GDPR. Some of the key areas that DUA Bill looks closely into are –</p>

<p><strong>Legitimate Interests</strong> – DUA bill brings out on no balancing test would be required, including direct marketing and security processing. Legitimate interests are most likely to be based on interest basis. The Bill gives more confidence to organisations about when they can rely on the legitimate interest’s lawful basis. The Bill also broadens the scope of legitimate interests for data processing for the purposes of direct marketing, internal data sharing and cybersecurity. This bill also focusses on restricting the potential overreach.</p>
<p><strong>Automated decision making</strong> &#8211; Narrows the scope of restrictions to only explicitly prohibit automated decisions made using special category data. This bill works towards the right to be provided with information on automated decisions, and to request human intervention in the decision making to ensure adequacy of rights.</p>
<p><strong>Cookies Management</strong> – Primarily focusses on reducing the frequency of cookie pop-ups for UK users by removing the cookie consent requirement for specified purposes and for exceptions. The exceptions are subject to various terms and conditions to practice, including around transparency, the right to object, and using the collected data for purposes beyond the scope of the specified purpose or exceptions.</p>

<p><strong>PECR (Privacy and Electronic Communications Regulation) Fines</strong> &#8211; Maximum fines would be brought in line with the current UK GDPR thresholds in DUA Bill. Monetary penalties for certain breaches of PECR is currently at £500,000, however, will be brought in line with penalties under the UK GDPR and the DPA, up to a maximum of £17.5m or 4% of global annual turnover, whichever is greater.</p>
<p><strong>DSAR (Data Subject Access Request)</strong> – Data controllers must respond to DSARs promptly and conduct ‘reasonable and proportionate’ searches to align with the regulatory requirements. Data subjects are only entitled to receive personal data found in a &#8220;reasonable and proportionate&#8221; search by the data controller. Existing ICO (Information Commissioner Office) guidance on response time frames for DSARs is added part of the DUA Bill.</p>
<p><strong>International data transfers</strong> &#8211; The DUA Bill is designed to clarify the UK&#8217;s approach to the transfer of personal data internationally and the UK&#8217;s approach to conduct of adequacy assessments. It initiates a data protection test for assessing competence and ensuring the adequacy decisions are made by the secretary for the state. The DUA Bill amends the UK GDPR by empowering the Secretary of State to approve data transfers based on a new “data protection test” to strengthen the UK data security posture.</p>

<p>DUA Bill has primarily emended propositions in ensuring that the organisations should make sure there are appropriate adequacy practices in place to transfer personal data from the EU to the UK or vice versa. Organisations should be aware that there would be greater compliance costs, owing to the significant restrictions imposed on the international transfer of personal data under EU data protection law.</p>
<p>Till date, there have been two readings of the DUA Bill in the <a href="https://en.wikipedia.org/wiki/House_of_Lords" target="_blank" rel="noopener">House of Lords</a>, and it has also been discussed in detail in the committee on the key considerations while amending DUA Bill. The discussion over the Bill’s contents during the Lords committee stage exhibits the careful balancing act that the government is having to perform with EU-UK in place. Organisations are expected to consider their compliance programmes in preparation for the DUA Bill to meet the regulatory requirements and expectations to strengthen the current data protection posture. However, multi-jurisdictional organisations operating across both a UK and EU are likely to continue to align their practices with the EU GDPR expectations. However, organisations to keep in mind that the DUA Bill is at the early stages of the legislative process, and it could be amended as it passes through the <a href="https://en.wikipedia.org/wiki/House_of_Lords" target="_blank" rel="noopener">House of Lords</a> and <a href="https://en.wikipedia.org/wiki/House_of_Commons_of_the_United_Kingdom" target="_blank" rel="noopener">House of Commons</a> before being enacted in UK law. So, we need to ensure that the existing compliance practices, organisations legal and regulatory programs are evaluated to align with the emerging DUA bill expected to amend with the UK GDPR and Data protection act in 2025.</p>
<p>The DUA Bill is still in its initial stages, meaning everything is subject to change as it passes parliament post the last discussion in December 2024. The DUA Bill indicates a critical evolution in the UK’s data protection regime, ensuring a solid balance between regulatory compliance, data security and privacy. EU Financial Data Access regulation and the UK Data Use and Access (DUA) Bill, both expected to become law in 2025 strengthening the data security and ensuring adequacy to the EU GDPR standard requirements.</p>
